Cogeco Inc.
The Montreal holding company that controls cable and internet operator Cogeco Communications (Cogeco in Canada, Breezeline in the U.S.) plus a Québec radio business.
The business
Cogeco Inc. is a Montreal-based communications and media holding company founded in 1957. Through its controlled subsidiary Cogeco Communications (TSX: CCA), it sells internet, video and phone services over fibre and hybrid fibre-coaxial networks, mostly to residential customers. It reports two telecom segments: Canadian Telecommunications, operating as Cogeco in Québec and Ontario, and American Telecommunications, operating as Breezeline in several U.S. states. It also has business services and roughly 4,400 employees.
Beyond its telecom stake, Cogeco Inc. owns a media arm, mainly Québec radio stations, along with a growing digital-advertising business. Media is small next to telecom and has been hurt by the long decline in traditional radio advertising. Management recorded a further radio impairment in fiscal Q3 2026.
Because Cogeco Inc. consolidates Cogeco Communications, its reported revenue, cash flow and debt are mostly the subsidiary's figures, and a large share of them belongs to CCA's other shareholders. That makes CGO's headline multiples look very different from what a CGO shareholder actually owns. Investors usually value CGO as a holding-company discount on its CCA stake plus the radio business.
The moat
Owned last-mile wireline networks across defined Canadian and U.S. footprints. These are costly to duplicate and generate steady recurring subscription revenue.
The Canadian business is entrenched in Québec and Ontario, and its new wireless service lets it bundle fixed and mobile services, which management says is reducing churn.
The holding structure gives the controlling shareholder lasting control of Cogeco Communications. That brings strategic continuity, but it also contributes to the holding-company discount.

Free cash flow yield & sustainable growth
Consolidated operating cash flow was C$933.7M over the twelve months to May 31, 2026, against C$562.4M of capital spending, leaving free cash flow of C$371.3M. That is down 37.1% from C$527.6M in fiscal 2025 (year ended August 31, 2025). The decline reflects lower U.S. revenue and EBITDA, although capex has been trending down from C$806.2M in fiscal 2023.
Quarterly figures have been firmer. Fiscal Q3 free cash flow was C$170.7M, up 15.7%, and management says it will optimize capital investment next year to support free cash flow. Canadian adjusted EBITDA rose 3.9% in the quarter, its third straight year-over-year gain, while U.S. revenue fell 10.1%. Future cash generation depends on whether Breezeline's decline can be stabilized.
Valuation & what to watch
At C$45.38 (October 13, 2026), CGO has a market cap of approx. C$430M. That is tiny next to its consolidated enterprise value of about C$6.40B, because the consolidated figures include Cogeco Communications' roughly C$4.6B of debt and the minority shareholders' interest in CCA. The P/E is not meaningful after a trailing loss of C$36.06 per share. The quoted price-to-free-cash-flow of 1.16 is also misleading: it sets consolidated free cash flow (C$371.3M), much of which belongs to CCA's other shareholders and its lenders, against only the parent's equity value.
A better way to value CGO is as a holding company: what the CCA stake and the radio assets are worth, minus a holding-company discount. The shares have fallen sharply over the past year (52-week range C$44.21 to C$77.04, market cap down 24.6%), in line with the market's lower view of the U.S. Breezeline business. Consolidated EV/EBITDA of 4.53 is low for a cable operator, which shows how much U.S. competitive risk the market is pricing in.
Dividend
Pays a quarterly dividend of C$0.987 per share (C$3.95 annualized), raised 7.0% with the Q3 fiscal 2026 results, for a yield of about 8.7% at C$45.38. StockAnalysis lists 21 years of dividend growth. With trailing earnings negative, no payout ratio is reported. The dividend relies on cash distributions received from Cogeco Communications.
Risks & the bear case
- U.S. competition is intensifying. Breezeline revenue fell 10.1% in Q3 fiscal 2026 because of fewer subscribers, more internet-only customers and pricing pressure, and the company took a C$2.2B pre-tax impairment on the segment.
- High consolidated leverage: net indebtedness was C$4.59B at May 31, 2026, so earnings and equity value are very sensitive to EBITDA trends and refinancing costs.
- The holding-company structure means CGO shareholders own an indirect slice of CCA's cash flow. Consolidated multiples overstate what they actually own, and the shares can trade at a persistent discount.
- The radio business is in structural decline: media revenue fell 1.3% in Q3 and radio assets were written down by C$25.6M.
- Canadian wireless is a new and capital-hungry business facing much larger, well-entrenched national carriers.
Recent developments

Revenue fell 4.5% to C$724.2M, and the net loss attributable to owners was C$405.7M (C$42.84 per diluted share), driven by non-cash impairments of C$2.2B pre-tax on the U.S. segment and C$25.6M on radio. Adjusted EPS was C$3.10, up from C$2.40, and fiscal 2026 guidance was maintained.
2026-07-15: Raised the quarterly dividend 7.0% to C$0.987 per share.
2026-06: Cogeco and Cogeco Communications warned that they expected to record an impairment of about C$1.7B on the U.S. telecom segment. The final charge was larger.
Q1 fiscal 2026: The Canadian wireless service fully launched in Québec and Ontario. Management says wireless sales are running ahead of plan.
Verdict
Cogeco Inc. is a discounted holding-company way to own a mid-sized cable operator. Its Canadian business is growing modestly, while its U.S. Breezeline arm is under heavy competitive pressure and has just been written down by C$2.2B. The 8.7% dividend and the 21-year growth record are attractive, and consolidated cash flow remains substantial. However, headline metrics such as a 1.2x price-to-FCF exaggerate the cheapness, because much of that cash belongs to minority holders of Cogeco Communications and to its lenders. CGO is best judged through its CCA stake, the trend in U.S. subscribers and the pace of debt reduction. It may suit patient income investors comfortable with leverage and holding-company structures, but it carries above-average uncertainty.
