Diversified Royalty Corp.

A Vancouver-based buyer of top-line royalties from franchisors and multi-location businesses, paying a monthly dividend funded by a high-margin royalty stream.

The business

Diversified Royalty Corp. acquires royalties from multi-location businesses and franchisors in North America. In a typical deal, DIV buys a brand's trademarks and licenses them back to the operator in exchange for a royalty on the system's top-line sales, which gives DIV a revenue stream that doesn't depend on store-level profit margins. The company was incorporated in 1992, is headquartered in Vancouver and has a very small staff (StockAnalysis lists 44 employees).

The portfolio spans several franchise brands, including Sutton (real estate), Mr. Lube + Tires (automotive maintenance) and Mr. Mikes (restaurants), among others. In 2026 DIV went beyond its royalty-only model and acquired the Mr. Lube + Tires franchisor business, which it operates through its subsidiary Mr. Lube Canada Ltd. It funded the purchase from its acquisition facility, then repaid that with a C$57.5 million equity offering that closed July 6, 2026.

Because royalties are charged on gross sales and DIV has almost no operating costs, reported operating margins are very high (about 85% on a trailing basis). Growth comes from same-store sales growth at the underlying brands and from new royalty acquisitions, which are typically funded with a mix of debt, convertible debentures and new shares.

The moat

Top-line royalties are contractual claims on system sales, so DIV is paid before franchisees' operating costs and is insulated from margin pressure at the store level.

Diversification across several unrelated franchise categories (real estate, auto service, restaurants and others) reduces dependence on any one consumer trend.

Long-term, often perpetual trademark licences with established Canadian brands provide durable, predictable cash flows with negligible capital spending.

Free cash flow yield & sustainable growth

Free cash flow yield : ≈5%FCF TTM C$38.86M / market cap C$770.12M, stockanalysis Oct 14, 2026

Free cash flow rose from C$27.6M in 2021 to C$28.4M in 2022, C$30.8M in 2023 and C$46.5M in 2024, then dipped to C$45.4M in 2025 and C$38.9M over the trailing twelve months to June 30, 2026. Capital spending is negligible, so free cash flow is essentially operating cash flow.

Revenue has grown every year, from C$37.3M in 2021 to C$70.8M in 2025 and C$76.5M on a trailing basis (+14.8%), mostly because of acquisitions. That growth has been funded partly with new shares: the share count rose about 2.8% year over year, and DIV raised C$65.9M from share issuance over the trailing period. The question for owners is whether royalty growth per share keeps pace with that dilution and with the rising dividend.

Valuation & what to watch

At C$4.08 (October 13, 2026), DIV trades at about 24.1 times trailing earnings and 19.1 times forward earnings, with a price-to-free-cash-flow ratio of about 19.8 (a free-cash-flow yield of about 5.0%). Net debt of about C$627M brings enterprise value to roughly C$1.41B, or about 21.4 times EBITDA. That is a rich multiple, reflecting how highly the market values steady royalty streams that need almost no capital spending.

For income investors the more important number is the payout. The roughly 7.0% dividend yield is above the free-cash-flow yield, and StockAnalysis shows a payout ratio of about 137% of earnings and about 138% of free cash flow. Trailing dividends paid (C$41.5M) exceeded trailing free cash flow (C$38.9M), so the current dividend depends on acquired royalties ramping up and on continued access to equity and debt markets.

Dividend

Pays a monthly dividend of C$0.02375 per share (C$0.285 annualized), a yield of about 7.0% at C$4.08. StockAnalysis shows 10% dividend growth over the past year and four consecutive years of increases, but a payout ratio of about 137% of earnings, and trailing dividends paid exceeded trailing free cash flow.

Risks & the bear case

  • Dividends currently exceed trailing free cash flow and earnings, so payout coverage depends on acquired royalties performing and on new capital.
  • Meaningful leverage: about C$627M of net debt against an equity value near C$770M, so the company is exposed to interest rates and refinancing.
  • Growth depends on acquisitions funded partly by issuing shares, which dilutes existing holders if deals are not accretive.
  • Owning and operating the Mr. Lube + Tires franchisor business adds operating exposure beyond a pure royalty model.
  • Royalty income depends on the sales health of the underlying brands, which are exposed to consumer spending, the housing market (Sutton) and franchisee performance.
  • A high EV/EBITDA multiple (about 21x) leaves the shares sensitive to any slowdown in royalty growth.

Recent developments

2026-07-06: Closed a C$57.5M bought-deal offering of 12,339,500 common shares at C$4.66 to repay its acquisition facility, which had been drawn to buy the Mr. Lube + Tires franchisor business.

2026-08-12: Released Q2 2026 results, MD&A and financial statements.

2026-10-05: Declared its October 2026 monthly cash dividend of C$0.02375 per share.

Verdict

DIV offers a high, monthly-paid dividend backed by top-line royalties from a diversified group of franchise brands that need almost no capital spending. The trade-offs are a full valuation, meaningful debt, steady share issuance, and a dividend that currently runs ahead of trailing free cash flow. The move into operating the Mr. Lube franchisor also adds operating exposure. It may suit income investors who understand the acquisition-driven model, provided they watch payout coverage closely.
