Morguard Corporation

A Canadian real-estate owner and manager whose shares trade at roughly a quarter of book value, with heavy leverage and a token dividend.

The business

Morguard Corporation is a diversified real-estate investment and management company that owns, develops and advises on property in Canada and the United States. It reports four segments: multi-suite residential, retail, office and hotel. As of June 30, 2026, it owned 156 properties, including 17,798 residential suites, about 16.7 million square feet of commercial space and 472 hotel rooms. It values the total assets it owns and manages at $24.2B.

Morguard is also the parent and manager of two separately listed vehicles, Morguard North American Residential REIT and Morguard Real Estate Investment Trust, and it earns management and advisory fees on top of its rental income. Its financial statements consolidate much of this structure, so revenue (about $1.12B over the trailing twelve months) and debt (about $6.0B) are large relative to its roughly $1.2B equity market value.

Results in 2026 have been steady but unremarkable. In Q2 2026, total revenue fell 1.0% to $277.7M and NOI declined to $152.7M because of higher office and multi-suite residential vacancy. Normalized FFO slipped 4.4% to $5.01 per share. Net income rose to $88.6M, but mainly because of a non-cash fair-value gain.

The moat

Morguard has a large, diversified portfolio of Canadian and U.S. real estate, along with an integrated property-management and advisory platform that earns fee income from its listed REITs and third parties.

It has meaningful access to financing: $681M of cash and available credit facilities, a $1.1B pool of unencumbered assets, and ongoing access to the debenture and CMHC-insured mortgage markets.

A long-term approach to capital allocation, including recycling capital from office assets into multi-suite residential (such as the planned roughly $1.0B TDAM portfolio investment).

Free cash flow yield & sustainable growth

Free cash flow yield : ≈18.6%FCF TTM $225.43M (operating cash flow $228.93M less $3.50M capex, to Jun 30, 2026) / market cap ~$1.21B, StockAnalysis, Oct 13, 2026; excludes ~$241M of real-estate acquisitions, after which levered FCF is ~$39M (~3.3%)

Operating cash flow has been fairly stable: $252.9M in 2022, $297.9M in 2023, $250.2M in 2024, $214.4M in 2025 and $228.9M over the trailing twelve months to June 2026. StockAnalysis's statistics page counts free cash flow as operating cash flow less a small capital-expenditure line, which gives $225.4M. Its cash-flow statement also shows roughly $241M a year spent acquiring real-estate assets, and after that spending, levered free cash flow is much smaller (about $39.4M on a trailing basis).

Growth is likely to come from capital recycling rather than organic gains. In 2026, Morguard agreed to sell an Ottawa office leasehold for $148.2M, received $31.7M from a land expropriation, and is moving ahead with a roughly $1.0B investment for a 20% interest in a TDAM multi-suite residential portfolio. Management is shifting the portfolio toward residential and away from office.

Valuation & what to watch

At about $113.65 per share (October 13, 2026), Morguard trades at roughly 0.24 times book value, with shareholders' equity of $431.59 per share. It also trades at about 6 times trailing earnings (P/E 5.90) and, on StockAnalysis's measure, about 5.4 times free cash flow. On paper that is extremely cheap. But trailing earnings include non-cash fair-value gains on property, so the P/E overstates how inexpensive the recurring earnings stream is. Normalized FFO of $5.01 per share in Q2 alone is a better gauge of recurring cash earnings.

The deep discount to book value has persisted for years and reflects several things. Enterprise value is about $7.26B, so the roughly $1.21B equity sits on top of about $5.66B of net debt. Office and hotel exposure carries risk, the share float is small and illiquid (about 10.7M shares), and the company pays out very little cash. Investors should not count on the gap to book value closing on its own.

Dividend

Morguard pays a quarterly eligible dividend of $0.20 per share ($0.80 annualized), about a 0.70% yield on the October 13, 2026 price. The payout ratio is only about 4% of earnings. The dividend rose from $0.60 (2022-2023) to $0.65 in 2024 and $0.80 in 2025, but the company keeps nearly all of its cash for reinvestment and buybacks (about $5.3M of repurchases in 2025).

Risks & the bear case

  • Leverage is high. Net debt of about $5.66B on a roughly $1.21B equity value makes results sensitive to interest rates and refinancing terms, even after recent refinancings at about 4.3% to 4.6%.
  • Office and hotel exposure brings vacancy and valuation risk. Higher office vacancy already weighed on Q2 2026 NOI.
  • Reported earnings swing with non-cash fair-value adjustments, so P/E and EPS are unreliable guides to recurring profitability.
  • The shares have limited liquidity (about 10.7M shares outstanding) and a narrowing of the book-value discount depends on management's capital-allocation choices.
  • The small dividend means investors depend on the share price for most of their return.

Recent developments

2026-06-18 / 2026-06-22: Morguard issued $250.0M of 4.307% Series J debentures due 2029 and fully redeemed $175.0M of 9.5% Series H debentures, lowering its cost of debt.

2026-08-05: Q2 2026 results showed total revenue of $277.7M (-1.0%), NOI of $152.7M, normalized FFO of $5.01 per share (-4.4%) and net income of $88.6M, helped by a non-cash fair-value gain. Equity per share rose to $431.59.

2026-08-05: Morguard declared a Q3 2026 eligible dividend of $0.20 per share, paid September 29. It also reported an agreement to sell an Ottawa office leasehold for $148.2M and progress on a roughly $1.0B TDAM multi-suite portfolio investment expected to close in the second half of 2026.

Verdict

Morguard is an asset-rich, deeply discounted real-estate holding company. It trades at about a quarter of book value and roughly 6 times trailing earnings, with stable operating cash flow and an active program of selling office assets and investing in residential. The discount has a cause: about $5.66B of net debt, office and hotel exposure, earnings inflated by non-cash fair-value gains, thin trading liquidity and a dividend yield under 1%. It may appeal to patient value investors who are comfortable with an illiquid, leveraged holding company. It is not an income stock, and the discount to book value could persist for a long time.
